End user license agreement Grassfeld (web) App.
By using the app, you, the User, agree to the following terms of this License Agreement.

1.
Terms.
1.1
Definitions
The following terms are used in this License Agreement:
- App: the mobile application or web application of Grassfeld;
- User: you, as the rightful acquirer of the App;
- License Agreement: the present End User License Agreement.
- Grassfeld: the company Grassfeld Inc., located in Dover, DE, 19901, 8 The Green # 16180, registered in the trade register under number 10006711;
- Intellectual property rights: all intellectual property rights and related rights, including copyrights, portrait rights, database rights, domain name rights, trade name rights, know-how, trademark rights, design rights, neighboring rights, source codes, and patent rights;
- Update: a modification to the App.
1.2
Prominent Notice of Key Terms
Users will receive prominent notice of key terms before accepting this License Agreement. This includes disclaimers, license restrictions, limitations of liability, and any payment-related terms. Grassfeld ensures these terms are clearly presented before users download or use the App.
2.
Scope of the license.
2.1
License Grant
Grassfeld hereby grants the User an exclusive right to use the App. If applicable, any differences between the mobile and web apps are stated separately.
2.2
Personal Use
This license is personal. The App may only be used on the device on which it has been downloaded and installed, while the web app can be used from any device.
2.3
Permitted Use
The app offers services related to personal finance, lifestyle and shopping, and digitization functions. Users are free to use the App for any purpose within the limits of the LOE and the law.
2.4
Prohibited Activities
Users are not allowed to:
- Decompile or reverse engineer the source code of the App, except to the extent permitted by mandatory law;
- Provide copies of the App to third parties;
- Sublicense or make available the App to third parties by way of rental, Software-as-a-Service arrangements, or otherwise;
- Modify the App, except to the extent permitted by mandatory law;
- Remove or obscure any copyright notices of Grassfeld from the App.
2.5
Backup Copy
The User may make a backup copy of the Mobile Application. However, the user may not use this backup copy on its own or distribute it other than in combination with the original App.
Article 2.4 applies accordingly.
2.6
Third-Party Store Terms
In addition to this License Agreement, Apple's App Store or Google's Play Store may impose conditions on the purchase and use of the App, in-app purchases, and related matters.
3.
Intellectual Property.
3.1
Ownership
All Intellectual Property Rights in the App, associated documentation, and all modifications and extensions thereto are and shall remain vested in Grassfeld. The User only acquires those rights and consents that arise under this License Agreement or are granted separately in writing.
3.2
User-Generated Content
Users retain ownership of any content they create using the App. Grassfeld does not claim ownership of user-generated content. However, by submitting content through the App, Users grant Grassfeld a non-exclusive license to use, store, and process the content to provide services within the App.
4.
Versions.
4.1
In return for the right of use, the User can choose between a free version or paying a periodic fee. The User acknowledges that the free version may have fewer features. Grassfeld will inform the User separately about the period and method of payment.
5.
Payments.
5.1
Price Changes
Grassfeld reserves the right to implement price changes prompted by changing market conditions. Grassfeld will notify the User of any price changes at least two months in advance.
5.2
Subscription Terms
Price changes for subscriptions will take effect as of the next subscription period. Users can cancel their subscription in accordance with Article 10.2.
5.3
In-App Purchases
The App allows purchases to be made within the context of the App. Grassfeld uses Stripe's payment system, Apple's App Store, and Google's Google Play for these transactions. Grassfeld shall not be obligated to fulfill an in-app purchase until the payment system confirms the payment.
5.4
Billing Transparency
Grassfeld provides transparent billing practices, including clear information on subscription cancellation terms, automatic renewal disclosures, and dispute resolution mechanisms.
6.
Updates.
6.1
Update Availability
Grassfeld releases updates from time to time to fix bugs or improve the App's operation. Updates may include visible changes or migration to a refreshed environment.
6.2
Update Problems
If an Update causes problems, Grassfeld will use its best efforts to resolve them as soon as possible. Grassfeld is not liable for damages unless caused by gross negligence.
6.3
User Responsibility
An available Update will be notified to the User via notifications from Apple's App Store and Google's Play Store. It is the User's responsibility to check these notifications. Updates are also performed via these platforms, which require an active Internet connection.
6.4
Update Terms
An Update may impose conditions that supplement or vary this License Agreement. Users will be notified of these changes in advance. By installing an Update, Users agree to the additional terms.
7.
Personal Data.
7.1
Data Processing
The App processes personal data of the User. For more information, please refer to the privacy statement which can be found in the main menu of the App and on the Grassfeld website.
7.2
Children's Data Privacy
Grassfeld complies with the Children's Online Privacy Protection Act (COPPA). Grassfeld does not knowingly collect personal data from children under 13 without verified parental consent.
Parents can manage and request the deletion of their child's personal data.
8.
Support.
8.1
User Responsibility
Users are responsible for installing, activating, and using the App. Use of the App is at the User's own risk.
8.2
Third-Party Dependencies
The User acknowledges that Grassfeld depends on the availability of linked third parties, such as financial institutions. Grassfeld is not responsible for the absence or inaccuracy of any data where Grassfeld depends on third parties.
9.
Warranties and liability.
9.1
Bug Fixes
Grassfeld will investigate and fix reported bugs or create temporary solutions.
9.2
Liability Limitations
Except in cases of willful misconduct or gross negligence, Grassfeld is not liable for damages resulting from the App's operation.
9.3
Internet Communication
No liability shall exist if damage is not reported to Grassfeld promptly after discovery. In addition, no liability exists if the cause of the damage is beyond the control of Grassfeld (force majeure).
10.
Duration of the agreement.
10.1
Commencement
The License Agreement starts when the User begins using the App and remains in force until terminated.
10.2
Cancellation
Monthly subscriptions can be terminated with one month's notice. Annual subscriptions terminate at the end of the subscription period. Users must cancel subscriptions via the platform where they were purchased.
10.3
Automatic Termination
The License Agreement automatically terminates if the User declares bankruptcy or if legal proceedings are initiated against them.
10.4
Post-Termination
Upon termination, the User must cease using the App and delete all copies from their devices.
11.
Miscellaneous conditions.
11.1
Governing Law
To the extent allowed by US Federal law, Dutch law applies to this License Agreement.
11.2
Dispute Resolution
All disputes arising from this License Agreement will be submitted to the competent Dutch court in Grassfeld's place of business.
11.3
Severability
If any provision of this License Agreement is found to be invalid, the remaining provisions will continue in full force and effect.
11.4
Assignment
Grassfeld may assign its rights and obligations under this License Agreement to a third party acquiring the relevant business or intellectual property rights.
